Welcome to TradeSimple. These Terms of Service ("Terms") govern your access to and use of the TradeSimple platform, website, and services (collectively, the "Service") operated by SimpleWorks Ltd ("we", "us", or "our"), accessible at tradesimple.co.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

TradeSimple is a trading journal and analytics platform. The Service allows users to log, track, and analyze their trading activity across various financial instruments. TradeSimple is not a brokerage, financial advisor, or investment platform. We do not execute trades, hold funds, or provide financial advice.

The Service includes, but is not limited to: trade journaling, performance analytics, backtesting tools, trade replay, AI-powered agents, strategy playbooks, progress tracking, mentor sharing, and reporting features.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

4.1 Free Trial

New users may be eligible for a free trial period. At the end of the trial, your access to premium features will be restricted unless you subscribe to a paid plan.

4.2 Paid Subscriptions

TradeSimple offers monthly and annual subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are quoted in US dollars unless otherwise specified.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. Annual subscriptions are non-refundable after 14 days from the date of purchase.

4.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent
• Share your account credentials with third parties
• Upload malicious code, viruses, or harmful content
• Use the Service to provide competing services

6. Intellectual Property

The Service and its original content, features, and functionality are owned by SimpleWorks Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written permission.

7. User Data and Content

7.1 Your Data

You retain ownership of all data you submit to the Service, including trade records, notes, and journal entries. We do not claim ownership of your data. You grant us a limited license to use, store, and process your data solely to provide and improve the Service.

7.2 Data Export

You may export your data at any time using our export features. Upon account deletion, your data will be permanently removed from our systems within 30 days, except where retention is required by law.

7.3 Data Security

We implement industry-standard security measures to protect your data. However, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any information provided through the Service.

9. Not Financial Advice

TradeSimple does not provide financial, investment, or trading advice. The analytics, scores, projections, and insights provided by the Service are for informational and educational purposes only. You should not rely on the Service as the sole basis for making financial decisions. Always consult with a qualified financial advisor before making investment decisions.

Past performance data displayed in the Service does not guarantee future results. Trading involves substantial risk of loss and is not suitable for all investors.

10. Data Usage and Limits

10.1 Usage Tiers

Your access to certain features and the volume of data you may store or process depends on your subscription plan. Usage limits are outlined on our pricing page and may include restrictions on the number of trades logged, backtest sessions, and data exports per billing period.

10.2 Fair Use

All plans are subject to a fair use policy. Excessive automated usage, bulk data extraction, or activity that places unreasonable load on our infrastructure may result in temporary throttling or suspension of your account. We will make reasonable efforts to notify you before taking action.

11. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our control.

We are not liable for any loss or damage resulting from Service downtime or interruptions. We do not guarantee the availability, accuracy, or timeliness of any third-party data displayed within the Service, including market data, price feeds, or financial information.

12. Regulatory Compliance

TradeSimple is not a registered broker-dealer, investment advisor, financial institution, or regulated entity in any jurisdiction. We do not hold, manage, or transmit client funds. We are not registered with or regulated by any financial regulatory authority.

The Service is a software tool for personal trade journaling and analysis only. Nothing in the Service constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities, derivatives, or other financial instruments.

You are solely responsible for ensuring your use of the Service complies with all applicable laws, regulations, and rules in your jurisdiction, including those related to securities trading, tax reporting, and financial record-keeping.

The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

The Service is intended for use globally, but certain features or functionality may not be available in all jurisdictions. We make no representation that the Service is appropriate or available for use in any particular location. Users who access the Service from jurisdictions where its use may be restricted or prohibited do so at their own risk and are responsible for compliance with local laws.

15. Limitation of Liability

To the maximum extent permitted by applicable law, SimpleWorks Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or alteration of your data
• Any trading decisions made based on information provided by the Service
• Any interruption or cessation of the Service
• Any bugs, viruses, or similar issues transmitted through the Service

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless SimpleWorks Ltd and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

17. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be subject to the exclusive jurisdiction of the courts of Sofia, Bulgaria.

To the maximum extent permitted by applicable law, you agree that any claim or dispute shall be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
